1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Origma ("Company," "we," "us," or "our") governing your access to and use of the Origma service, including our website, applications, and AI-powered video editing platform (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

Origma is a Software-as-a-Service (SaaS) platform that provides AI-powered video editing automation. The Service includes:

  • Automated video analysis and highlight detection
  • AI-powered video editing and content generation
  • Video upload and URL-based processing
  • Cloud storage for video projects and edited content
  • Web-based video editing interface
  • Export and download of edited videos

2.1 Third-Party AI Services

Our Service uses third-party AI service providers to provide AI-powered video analysis, content generation, and editing capabilities. By using our Service, you acknowledge and agree that:

  • Your video content and related data may be processed by third-party AI services in accordance with their respective terms of service
  • The AI-generated results are created using machine learning models and may not always be accurate or appropriate for your specific use case
  • You should review and validate all AI-generated content before using it
  • AI-generated content should not be used as a substitute for professional advice (medical, legal, financial, or otherwise)

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account using third-party OAuth authentication. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

3.2 Eligibility

You must be at least 18 years old to use the Service. Our Service uses AI capabilities from third-party providers that require users to be 18 years or older. This Service is not directed towards individuals under 18 years of age.

By creating an account, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

3.3 Regional Restrictions and Requirements

The Service availability may be limited in certain regions. Due to requirements imposed by our third-party AI service providers:

  • European Economic Area (EEA), Switzerland, and United Kingdom: Users in these regions may only use the Service with a paid subscription. Free tier and trial services using AI features are not available in these jurisdictions due to third-party provider restrictions.
  • The Service may not be available in all countries or regions. We reserve the right to restrict access based on geographic location.
  • You are responsible for complying with all local laws and regulations applicable to your use of the Service in your jurisdiction.

3.4 Account Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in conduct we deem inappropriate or harmful to the Service or other users.

4. Acceptable Use Policy

4.1 Permitted Use

You may use the Service for lawful purposes only, including:

  • Creating and editing video content you own or have rights to
  • Processing videos for personal or commercial use
  • Generating automated edits for content creation

4.2 Prohibited Activities

You agree NOT to:

  • Upload, process, or distribute content that infringes intellectual property rights
  • Upload illegal, harmful, threatening, abusive, defamatory, or offensive content
  • Use the Service to create deepfakes, misleading content, or disinformation
  • Upload content containing child exploitation material, violence, or hate speech
  • Attempt to reverse engineer, decompile, or access the Service's source code
  • Use automated tools to scrape, mine, or extract data from the Service
  • Interfere with or disrupt the Service's infrastructure or security
  • Attempt to gain unauthorized access to other users' accounts or data
  • Use the Service to transmit malware, viruses, or harmful code
  • Resell, sublicense, or redistribute the Service without authorization
  • Exceed usage limits or abuse the Service in a manner that degrades performance
  • Develop, train, or improve competing AI models or services using output from our Service or the underlying AI providers
  • Bypass or attempt to circumvent AI safety features, content filters, or usage restrictions
  • Use the Service to provide clinical medical advice, oversee medical devices, or make healthcare decisions
  • Submit sensitive, confidential, or personally identifiable information beyond what is necessary for video processing

4.3 Content Monitoring

We reserve the right, but not the obligation, to monitor, review, or remove content that violates these Terms. We may use automated systems to detect prohibited content.

5. Intellectual Property Rights

5.1 Your Content Ownership

You retain all ownership rights to the video content you upload or create using the Service ("Your Content"). By uploading content, you represent and warrant that:

  • You own all rights to the content or have necessary permissions
  • The content does not infringe any third-party intellectual property rights
  • You have all necessary consents from individuals appearing in videos

5.2 License Grant to Us

You grant Origma a limited, non-exclusive, royalty-free, worldwide license to:

  • Store, process, and analyze your video content
  • Use AI models to generate edited versions of your content
  • Display your content within the Service interface
  • Perform technical operations necessary to provide the Service

This license terminates when you delete your content or close your account, except for content retained for legal or operational purposes as described in our Privacy Policy.

5.3 Our Intellectual Property

The Service, including its software, algorithms, user interface, design, trademarks, and all related intellectual property, is owned by Origma and protected by copyright, trademark, and other laws.

You may not copy, modify, distribute, sell, or create derivative works of the Service without our express written permission.

5.4 AI-Generated Content

Edited videos generated by our AI service are derived from Your Content. You retain ownership of AI-generated edits, subject to your ownership of the underlying source material.

6. Subscription and Payment

6.1 Pricing

Access to certain features may require a paid subscription. Current pricing is available on our website and may change with 30 days' notice.

6.2 Billing

  • Subscriptions are billed in advance on a recurring basis
  • You authorize us to charge your payment method automatically
  • Failed payments may result in service suspension or termination
  • All fees are non-refundable except as required by law

6.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a subscription period.

6.4 Free Trials

We may offer free trials for promotional purposes. We reserve the right to modify or terminate free trial offers at any time.

7. Service Availability and Support

7.1 Service Uptime

While we strive to maintain high availability, we do not guarantee uninterrupted access to the Service. Maintenance, updates, and unforeseen technical issues may cause temporary disruptions.

7.2 Usage Limits

We may impose reasonable limits on Service usage, including:

  • Maximum video file size and duration
  • Storage capacity for projects and media
  • Number of concurrent processing jobs
  • API rate limits

Usage limits vary by subscription tier and are subject to change.

7.3 Content Retention and Editing Period

Important limitations on video content:

  • Uploaded VOD Editing Period: Videos uploaded to the Service are available for editing for a maximum of 1 month (30 days) from the date of upload. After this period, editing capabilities may be disabled or the content may be archived.
  • Ticket Validity: Issued tickets for video processing have a validity period of 1 month (30 days) from the date of issuance. Tickets must be used within this timeframe and cannot be extended, refunded, or transferred after expiration.

We recommend downloading your edited videos promptly and using tickets before expiration. We are not responsible for expired tickets or content that becomes unavailable after the retention period.

7.4 Customer Support

We provide customer support via email. Support availability and response times vary by subscription level.

8. Data Privacy and Security

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference.

  • Video content is encrypted at rest and in transit
  • We comply with GDPR, CCPA, and other applicable data protection laws

8.2 AI Data Processing Disclosure

How Third-Party AI Providers Process Your Data:

When you use our Service, your video content and related inputs are processed by third-party AI service providers. The way these providers handle your data depends on our service tier:

  • For paid subscriptions: Third-party AI providers do not use your prompts, inputs, or AI-generated responses to improve their products or services. Your data is processed according to applicable data processing agreements and is logged only for a limited time to detect policy violations and meet legal requirements.
  • For free tier or trial services: Third-party AI providers may use submitted content and generated responses to provide, improve, and develop their products and services. Human reviewers may read, annotate, and process your inputs and outputs to help improve AI quality and service performance.

Important: You should not submit highly sensitive, confidential, or personally identifiable information that is not necessary for video processing, especially when using free tier services.

8.3 Authentication and User Data

When you authenticate using third-party authentication services (such as OAuth), we access limited user data solely to provide and improve our Service. We comply with applicable user data policies and Limited Use requirements:

  • We only request access to user data necessary for features you use
  • We do not transfer, sell, or use your user data for serving advertisements
  • We do not transfer or sell your user data to third parties like advertising platforms or data brokers
  • We do not use your user data to determine creditworthiness or for lending purposes
  • All use of user data is limited to providing and improving user-facing features that are visible and disclosed to you

9. Disclaimers and Limitations of Liability

9.1 Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Guarantees of uninterrupted or error-free operation
  • Accuracy or reliability of AI-generated edits
  • Compatibility with all devices, browsers, or network configurations

9.2 AI-Generated Content Disclaimer

Our Service uses third-party AI models to provide automated video editing based on algorithms and machine learning. IMPORTANT DISCLAIMERS:

  • Accuracy Not Guaranteed: AI-generated content may be inaccurate, incomplete, offensive, or inappropriate. We do not guarantee perfect accuracy in content analysis, editing decisions, or generated outputs.
  • Review Required: You are solely responsible for reviewing, validating, and approving all AI-generated content before using it for any purpose.
  • Not Professional Advice: AI-generated content does not constitute professional advice (medical, legal, financial, or otherwise) and should not be relied upon as such.
  • No Medical Use: This Service and its AI features must not be used to provide clinical medical advice, diagnose conditions, oversee medical devices, or make healthcare-related decisions.
  • Suitability: We do not guarantee that AI-generated edits will be suitable for your specific purposes or meet your quality standards.
  • Technical Issues: AI-generated content may contain errors, artifacts, glitches, or unintended results due to the nature of machine learning.
  • Interpretation: AI systems interpret content based on patterns and may misinterpret context, intent, or nuance in your source material.

BY USING AI FEATURES, YOU ACKNOWLEDGE THAT AI-GENERATED CONTENT IS EXPERIMENTAL AND MAY REQUIRE SIGNIFICANT HUMAN REVIEW AND EDITING BEFORE USE.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORIGMA SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from use or inability to use the Service
  • Unauthorized access to or alteration of your content
  • Third-party actions or content

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

9.4 Exceptions

Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

  • Content you upload or create using the Service
